NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.
By submitting an application to the Empromptu Builder Fund (the "Program"), you agree to be bound by these Official Rules and Terms and Conditions ("Rules"). If you do not agree to these Rules, do not submit an application.
1. Sponsor
The Program is sponsored by Empromptu Inc, a Delaware company with its principal place of business at 447 Sutter Street, San Francisco, CA 94108 ("Sponsor").
2. Eligibility
The Program is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry. To be eligible, an applicant must:
- •(a) be a founder or co-founder of the company or project described in the application, acting on behalf of that entity;
- •(b) be actively developing a product or service that incorporates an artificial intelligence component;
- •(c) have created a free account on Sponsor's platform at www.empromptu.ai prior to submitting an application; and
- •(d) not be an employee, officer, director, agent, or contractor of Sponsor, its parent companies, subsidiaries, affiliates, advertising and promotion agencies, or any other company involved in the administration of the Program, nor an immediate family member (spouse, parent, sibling, or child) or household member of any such person.
Only one (1) application per company or project is permitted. Multiple applications submitted on behalf of the same entity will be disqualified. Sponsor reserves the right to verify eligibility at any time and to disqualify any applicant who does not meet the requirements set forth herein.
3. Program Period
The Program begins on April 1, 2026 at 12:00 AM Eastern Time ("ET") and ends on April 25, 2026 at 11:59 PM ET (the "Application Period"). Applications submitted before the start or after the end of the Application Period will not be considered. Sponsor's computer is the official timekeeping device for the Program.
The anticipated schedule for the Program is as follows, subject to change at Sponsor's sole discretion:
- •Application period opens: April 1, 2026
- •Application period closes: April 25, 2026 at 11:59 PM ET
- •Selection period: [unspecified]
- •Winner notification (private): email
- •Public announcement: May 1, 2026
Any material changes to the Program schedule will be posted to the official Program landing page at https://www.empromptu.ai/builder-fund.
4. How to Enter
During the Application Period, eligible applicants must complete the following steps:
(a) Navigate to the official application form at https://www.empromptu.ai/builder-fund.
(b) Create a free account at https://www.empromptu.ai, if you have not already done so.
(c) Complete all required fields in the application form, including all required written responses.
(d) Confirm your agreement to these Rules by checking all required confirmation boxes and submitting the application.
Applications must be submitted in English. Incomplete applications will not be considered. Sponsor is not responsible for lost, late, incomplete, illegible, or misdirected applications, or for any technical malfunctions, hardware or software failures, lost or unavailable network connections, or failed, incomplete, or delayed computer transmissions that may limit or prevent an applicant's ability to participate.
5. Prizes
The following prizes will be awarded, subject to verification of eligibility and compliance with these Rules:
- •Grand Prize (1 winner): $15,000 USD, to be disbursed via ACH bank transfer within 30 days of prize acceptance and completion of all required documentation.
- •Runner-Up Awards (10 recipients): $500 in platform credits valid for 90 days from date of issuance.
- •Approximate retail value of all prizes combined: $5,000 USD.
Prizes are non-transferable. No substitution, assignment, or cash equivalent of any prize is permitted, except at Sponsor's sole and absolute discretion or as required by law. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable for any reason. All costs and expenses not specifically described herein, including without limitation any costs associated with accepting or using a prize, are the sole responsibility of the winner.
6. Selection of Winners
Applications will be reviewed during the selection period by a panel designated by Sponsor (the "Selection Panel"). The Selection Panel will evaluate applications based on the following criteria:
- •Clarity and specificity of the problem being addressed: 25%
- •Evidence of progress, traction, or seriousness of effort: 20%
- •Quality and specificity of the proposed use of Sponsor's platform: 20%
- •Credibility and specificity of the proposed use of funds: 20%
- •Demonstrated gap between the applicant's current resources and execution capacity: 15%
The Selection Panel's decisions are final and binding in all matters relating to the Program. Sponsor reserves the right to award fewer prizes than stated if an insufficient number of qualifying applications are received. Applications that contain misrepresentations or materially false information are subject to disqualification.
7. Winner Notification and Verification
The potential winner will be notified via the email address provided in the application within five (5) business days of the conclusion of the selection period. The potential winner must respond to Sponsor's notification within five (5) business days of the date notification is sent. Failure to respond within the required period may result in disqualification and selection of an alternate winner.
As a condition of receiving any prize, the potential winner may be required to execute and return an Affidavit of Eligibility and Liability Release, and where lawful, a Publicity Release (collectively, the "Prize Documents"), within 7 days of the date such documents are sent. If the potential winner fails to return the Prize Documents within the required time, declines the prize, or is found to be ineligible, the prize will be forfeited and an alternate winner may be selected.
The winner agrees to keep the award and all related communications confidential until Sponsor's official public announcement on or around May 1, 2026.
8. Tax Obligations
All federal, state, and local taxes on prizes are the sole responsibility of the winner. Any prize with a value of six hundred dollars ($600.00) or more will be reported to the Internal Revenue Service as required by applicable law. Winners may be required to provide a completed IRS Form W-9 (or, if applicable, Form W-8BEN) prior to receiving any prize. Failure to provide required tax documentation will result in forfeiture of the prize. Sponsor makes no representation as to the tax treatment of any prize.
9. Intellectual Property; License
Each applicant retains all intellectual property rights in the ideas, concepts, and materials submitted in connection with the Program. By submitting an application, each applicant grants to Sponsor a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, publish, display, and distribute the applicant's name, company name, and a general description of the applicant's project for purposes of promoting and publicizing the Program and Sponsor's products and services, unless the applicant provides written notice of objection to support@empromptu.ai prior to the public announcement date.
The structure, architecture, selection criteria, campaign methodology, and all related Program frameworks are the proprietary work product of the Program's designer and may not be reproduced, adapted, or used without express written consent.
10. Publicity
Except where prohibited by law, acceptance of any prize constitutes the winner's consent to Sponsor's use of the winner's name, likeness, voice, photograph, biographical information, and project description for advertising, promotional, and marketing purposes in any and all media, whether now known or hereafter devised, throughout the world, in perpetuity, without further compensation or right of approval. The winner may be asked to participate in a founder spotlight or similar feature for publication on Sponsor's website and social media channels.
11. General Conditions; Disqualification
Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Program, in whole or in part, at any time for any reason, including without limitation if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper operation of the Program, as determined by Sponsor.
Sponsor further reserves the right to disqualify any applicant who: (i) provides false, inaccurate, or misleading information in an application; (ii) attempts to interfere with or manipulate the application or selection process in any way; (iii) violates these Rules; or (iv) engages in conduct that Sponsor, in its sole discretion, deems harmful to the Program, Sponsor, or any third party. Disqualified applicants are not entitled to any prize and may be barred from future programs.
By participating in the Program, each applicant agrees to release, discharge, and hold harmless Sponsor, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, actions, damages, losses, or liabilities arising out of or related to participation in the Program or acceptance, use, or misuse of any prize.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPONSOR SHALL NOT BE LIABLE FOR ANY INJURY, LOSS, DAMAGE, OR EXPENSE OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH PARTICIPATION IN THE PROGRAM OR THE ACCEPTANCE OR USE OF ANY PRIZE, INCLUDING BUT NOT LIMITED TO: TECHNICAL FAILURES; UNAUTHORIZED ACCESS TO OR ALTERATION OF APPLICATIONS; ERRORS IN APPLICATION PROCESSING; OR ANY RELIANCE UPON PRIZE PROCEEDS. IN NO EVENT SHALL SPONSOR'S LIABILITY EXCEED THE TOTAL VALUE OF THE PRIZE AWARDED TO THE APPLICABLE WINNER.
13. Privacy
Personal information collected in connection with the Program will be used solely for the purpose of administering the Program and fulfilling prizes, and, with consent, for promotional communications from Sponsor. All personal information will be handled in accordance with Sponsor's Privacy Policy, available at empromptu.ai/privacy. Applicants may contact support@empromptu.ai to exercise any applicable rights with respect to their personal information.
14. Governing Law; Dispute Resolution
These Rules shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Rules or the Program that cannot be resolved informally shall be submitted to binding arbitration in San Francisco before a single arbitrator, in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION WITH RESPECT TO ANY CLAIM ARISING FROM OR RELATING TO THE PROGRAM.
If any provision of these Rules is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. These Rules constitute the entire agreement between Sponsor and each participant with respect to the Program.
